$97 Website Offer Terms
The terms for the GrowDVM $97 website: a new website for your veterinary practice, hosted and cared for by GrowDVM, that becomes yours to own.
1. The offer in plain words
- $97, paid once, to build your new website of up to six pages.
- Then $197 a month for hosting and care, starting when your website goes live.
- After 12 paid months the website is yours. You can also pay the rest of those 12 months at any time to own it sooner.
- You can cancel at any time. If you cancel before you own the website, it is taken offline at the end of your last paid month and nothing more is owed.
This summary is for convenience. The numbered sections below are the terms that apply.
2. Who these terms are between
These $97 Website Offer Terms (the “Website Terms”) are an agreement between the veterinary practice that accepts the offer (“you” or the “Practice”) and GrowDVM Inc., a California corporation at 41829 Albrae Street, Fremont, CA 94538, United States (“GrowDVM,” “we,” or “us”). You accept these Website Terms when you sign up for the offer, pay the Build Fee, or approve your Website to go live, whichever happens first. The person accepting confirms that they are authorized to act for the Practice. This offer is for businesses, not for personal or household use.
3. Definitions
- Website: the website GrowDVM designs and builds for the Practice under this offer.
- Build: designing, building and launching the Website as described in Section 4.
- Build Fee: the one-time fee of $97 (US dollars) for the Build.
- Hosting Plan: the hosting and care service described in Section 6.
- Hosting Fee: $197 (US dollars) per month for the Hosting Plan.
- Launch Date: the day the Website is first published at the Practice's domain after the Practice approves it.
- Initial Term: the first 12 monthly billing periods starting on the Launch Date.
- Ownership Date: the date on which GrowDVM has received the Build Fee and all 12 Hosting Fees for the Initial Term, whether paid monthly or early under Section 8.
4. What the Build includes
- A Website of up to six pages, for example: home, services, about and team, contact and directions, booking, and frequently asked questions.
- A design built for phones first that also works on tablets and computers.
- Tap-to-call phone numbers and a link or button to the Practice's existing online booking tool.
- The Practice's hours, address, map link and Google reviews shown clearly.
- Search basics: page titles and descriptions, headings, image descriptions, and structured data that helps search engines and AI search tools read the Practice's name, location, hours and services (often called search engine optimization and answer engine optimization).
- Fast-loading pages, a secure (https) address, and links checked to work at launch.
- Up to two rounds of changes before launch.
5. What is not included
- More than six pages, online stores, client portals, or custom software.
- Third-party products and subscriptions, such as booking or practice management software, email accounts, paid plugins, premium fonts or stock photography beyond what GrowDVM provides, and domain name registration or renewal.
- Writing substantial new content, such as blog posts or pages beyond the six.
- Advertising, ongoing search engine optimization campaigns, or social media management.
Any of these can be quoted separately in writing.
6. Hosting and care plan
The Hosting Plan starts on the Launch Date and includes:
- Hosting of the Website, its https certificate, and regular backups.
- Software and security updates, and uptime monitoring.
- Small content updates on request, such as hours, staff, holiday notices and service changes. Larger changes, new pages or redesigns are quoted separately.
- Fixing anything on the Website that stops working because of something on GrowDVM's side.
7. Fees, billing and taxes
- The Build Fee is due when you sign up.
- The Hosting Fee is billed monthly in advance, starting on the Launch Date, to the card or account the Practice provides. By signing up, the Practice authorizes GrowDVM to charge the Hosting Fee each month until the Ownership Date or until the Practice cancels under Section 9, and afterwards as described in Section 10.
- The Hosting Fee will not change during the Initial Term.
- All fees are in US dollars and do not include any sales, use or similar taxes, which are added where required by law.
- Fees already paid, including the Build Fee and past Hosting Fees, are non-refundable, as described in Section 6 of our Terms of Service.
8. Owning your website
Ownership after 12 months. On the Ownership Date, GrowDVM assigns to the Practice all of GrowDVM's right, title and interest in the Website's design and in the text, graphics and files GrowDVM created specifically for the Practice, on the same basis as client deliverables under Section 8.2 of our Terms of Service. This does not include GrowDVM's pre-existing tools, templates, code libraries and methods, or third-party software, fonts, plugins and images, which remain licensed to the Practice for use with the Website rather than transferred, subject to their own license terms.
Owning it sooner. At any time during the Initial Term, the Practice may pay the Hosting Fees remaining in the Initial Term (the number of unpaid months in the Initial Term multiplied by $197). The Ownership Date is then the date that payment is received.
Before the Ownership Date, GrowDVM owns the Website and grants the Practice a non-exclusive right to use it, for the Practice's own business, while its account is in good standing.
9. Cancelling before the Ownership Date
The Practice may cancel the Hosting Plan at any time by written notice to the contact details in Section 18. Cancellation takes effect at the end of the monthly billing period that is already paid, and no further Hosting Fees will be charged. When cancelling, the Practice chooses one of these:
- Pay the remaining Hosting Fees for the Initial Term, and ownership transfers under Section 8; or
- Cancel without paying the remainder. The Website is taken offline at the end of the last paid billing period, ownership does not transfer, the Practice's right to use the Website ends, and nothing more is owed.
If the Practice does not choose, the second option applies. Content the Practice supplied (such as its logo, photos and text) remains the Practice's, and GrowDVM will return copies on request within 30 days.
10. After the Ownership Date
The Practice may choose to:
- continue the Hosting Plan month to month at the Hosting Fee then in effect. GrowDVM will give at least 30 days' written notice before any price change, and either party may end the month-to-month plan with 30 days' written notice; or
- move the Website elsewhere. GrowDVM will provide the Website files and reasonable help moving it to a new host within 30 days of the Practice's written request.
If the Practice gives no instruction, the Hosting Plan continues month to month under the first option.
11. Late or failed payments
If a payment fails or is more than 15 days late, GrowDVM may pause the Website until the account is up to date. A paused month does not count toward the Initial Term. If a payment is more than 45 days late, GrowDVM may treat the Hosting Plan as cancelled without payment of the remainder under Section 9. Late payments may also accrue interest as described in Section 6 of our Terms of Service.
12. Your domain name
The Practice's domain name (for example, yourclinic.com) stays registered to the Practice. If GrowDVM registers or manages a domain for the Practice, it does so in the Practice's name and will transfer control to the Practice on request. Domain registration and renewal fees are the Practice's responsibility.
13. Your content, approvals and compliance
The Practice provides its logo, photos and any text it wants used, and confirms it has the right to use them and to let GrowDVM use them on the Website. GrowDVM may start from what is published on the Practice's current website and Google Business Profile. The Practice reviews the Website before launch, and its approval is required to go live. The Practice is responsible for the accuracy of medical, pricing and policy information on the Website, and for meeting any professional, advertising, privacy or accessibility rules that apply to the Practice. GrowDVM may decline to publish content it reasonably believes is unlawful or infringes someone else's rights.
14. Availability and backups
GrowDVM uses commercially reasonable efforts to keep the Website online and secure and to restore it from backup if something goes wrong. Websites can be unavailable from time to time because of maintenance, hosting providers, internet outages or events outside our control, and GrowDVM does not promise uninterrupted availability.
15. No ranking or results guarantee
GrowDVM builds every Website using current good practice for speed, mobile use, and search and AI readability. GrowDVM does not guarantee positions in Google or other search engines, mentions in AI tools, website traffic, calls, bookings or new clients, because those depend on search engines, AI providers and other factors outside our control.
16. Offer availability and changes
This offer is for independently owned veterinary practices that received it from GrowDVM, one Website per practice location, and GrowDVM may decline a sign-up. GrowDVM may change or end the offer, or update these Website Terms, for new sign-ups at any time. Changes do not alter the Build Fee, Hosting Fee during the Initial Term, or ownership terms for a Practice that has already signed up, unless the Practice agrees in writing.
17. How these terms fit with our other terms
These Website Terms add to our Terms of Service, which also apply, including the sections on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law and venue, and the arbitration agreement and class action waiver. If these Website Terms and the Terms of Service conflict on something about this offer, these Website Terms control. If the Practice and GrowDVM sign a separate written agreement for the Website, that agreement controls for the matters it covers.
